1. DEFINITIONS
Company refers to Cobra Digital Marketing, a business operating in the State of Arizona. Client refers to any individual or business that purchases services from Cobra Digital Marketing. Services refers to AI voice agents, AI chatbots, marketing automation, and related digital marketing services. Platform refers to GoHighLevel and any other third party tools used to deliver our services. Agreement refers to these Terms of Service along with any signed contracts or order forms.
2. SERVICES PROVIDED
Cobra Digital Marketing provides AI voice agents that answer incoming calls and book appointments automatically, AI chatbots that engage website visitors and capture leads, marketing automation systems including follow up sequences and appointment reminders, custom built sales funnels and landing pages, and ongoing campaign management and optimization.
We do not guarantee specific results. Business outcomes depend on many factors outside our control including market conditions, client industry, and the quality of existing business operations.
3. SMS MESSAGING PROGRAM
Cobra Digital Marketing operates an SMS messaging program to communicate with clients and prospects who have provided explicit consent to receive text messages.
Our SMS program sends the following types of messages only. Appointment confirmation messages sent immediately after a demo call is booked. Appointment reminder messages sent 24 hours before a scheduled call. Day of reminder messages sent 1 hour before a scheduled call. Follow up messages sent after a completed demo call.
Message frequency varies based on your interactions with our booking system. Typically you will receive no more than 3 to 4 messages per scheduled appointment.
Message and data rates may apply depending on your mobile carrier and plan.
Our SMS program is only available to individuals who are 18 years of age or older. By opting in to receive SMS messages you confirm that you are at least 18 years old.
To opt out of SMS messages at any time reply STOP to any message we send you. After sending STOP you will receive one final confirmation message and no further SMS messages will be sent to you. To get help with our SMS program reply HELP to any message or contact us at [email protected].

4. AI SERVICES SPECIFIC TERMS AND LIMITATIONS
You understand and agree to the following regarding our AI services. AI voice agents and chatbots are automated systems and may occasionally make errors in responses or booking. We will correct known errors promptly when reported. AI systems require an initial training period of up to 48 hours before going live. Performance improves over time as the AI learns from real interactions. You are responsible for reviewing AI conversations periodically and reporting any issues to us within 48 hours of discovery. We are not liable for any miscommunications or missed bookings caused by AI errors beyond our reasonable control.
5. PAYMENT TERMS
Setup fees are due in full before work begins. Setup fees are non-refundable once work has started. Monthly retainer fees are billed on the same date each month. If payment fails we will attempt to collect up to three times over seven days before pausing your services. Paused services will be reactivated within 24 hours of successful payment. Prices may increase with 30 days written notice to you via email.
6. REFUND POLICY
Setup fees are non-refundable once onboarding has begun. Monthly retainer fees are non-refundable for the current billing period. If you cancel before your next billing date your service will continue until the end of the paid period and will not renew. We do not offer prorated refunds for partial months. If you believe there has been a billing error contact us within 7 days and we will review and correct any mistakes promptly.
7. CLIENT RESPONSIBILITIES
You agree to provide accurate business information during onboarding including your service area, pricing, and availability. You are responsible for ensuring your business has proper consent mechanisms in place for receiving marketing communications. You must notify us within 24 hours if you change your phone number, calendar system, or any other connected service. You are responsible for complying with all applicable laws in your jurisdiction related to marketing communications and customer data.
8. INTELLECTUAL PROPERTY
Any AI systems, workflows, automations, and funnels we build for you are built on our proprietary frameworks. You own the content and data within your account. We retain ownership of the underlying systems, templates, and methodologies. You may not resell, copy, or share our systems with any third party without written permission.
9. DATA PRIVACY AND SECURITY
We collect and store business information, contact information, call recordings, and chat transcripts as necessary to deliver our services. We do not sell your data or your customers data to third parties. We use industry standard security practices to protect all data. Call recordings may be stored for up to 12 months for quality and training purposes. 10. TELEPHONE AND COMMUNICATION COMPLIANCE
You are responsible for ensuring all contacts in your database have properly opted in to receive SMS and phone communications. We provide tools to help you collect and manage consent but ultimate compliance responsibility rests with you. All SMS messages sent through our system include opt out language as required by law. You agree to comply with the Telephone Consumer Protection Act, CAN-SPAM Act, and all other applicable communication laws.
11. THIRD PARTY INTEGRATIONS
Our services rely on third party platforms including GoHighLevel, Twilio, and others. We are not responsible for outages, errors, or changes made by these third party platforms. If a third party platform changes their pricing or terms we will notify you and work with you to find alternatives where possible.
12. SERVICE LEVEL AGREEMENT
We aim to keep your AI systems running 24 hours a day 7 days a week. Scheduled maintenance will be communicated 24 hours in advance. In the event of unplanned downtime we will work to restore service within 4 hours and notify you as soon as possible. We are not responsible for downtime caused by third party platform outages.
13. TERMINATION
You may cancel your services at any time by providing written notice to [email protected]. Cancellation takes effect at the end of your current billing period. We may terminate your services immediately if you violate these terms, engage in fraudulent activity, or use our services for illegal purposes. Upon termination we will provide you with an export of your data within 7 business days.
14. LIMITATION OF LIABILITY
Cobra Digital Marketing is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability to you for any claim shall not exceed the total amount you paid us in the three months prior to the claim. We are not liable for lost revenue, lost customers, or business losses resulting from AI errors, technical issues, or service interruptions. Mobile carriers are not liable for delayed or undelivered messages.
15. INDEMNIFICATION
You agree to indemnify and hold harmless Cobra Digital Marketing from any claims, damages, or expenses including legal fees arising from your misuse of our services, your violation of these terms, or your violation of any applicable laws.
16. DISPUTE RESOLUTION
We prefer to resolve disputes informally. Please contact us at [email protected] and give us 30 days to resolve any issue before taking further action. If informal resolution fails disputes will be resolved through binding arbitration in Maricopa County Arizona under the rules of the American Arbitration Association. You waive your right to participate in any class action lawsuit against Cobra Digital Marketing.
17. GOVERNING LAW
These Terms of Service are governed by the laws of the State of Arizona. Any legal proceedings will take place in Maricopa County Arizona.
18. CHANGES TO THESE TERMS
We may update these terms at any time. We will notify you by email at least 14 days before any material changes take effect. Continued use of our services after that date constitutes acceptance of the new terms.
